Our services encompass event management, event production, sound and lighting engineering, audio-visual (AV) equipment hire, staging, live streaming, event photography, videography, graphic design, branding, and website development.
All written quotations issued by ASCND GROUP LTD remain valid for thirty (30) days from the date of issue unless specified otherwise. Quotations represent an estimate based upon project briefs and information supplied by the Client.
A binding commercial contract is formed only when the Client confirms acceptance of the quotation in writing and pays the required booking deposit. Any subsequent additions, variations, or alterations to the agreed scope of work must be agreed in advance in writing.
Our standard payment terms are structured as follows:
Should you need to cancel an agreed project or event booking, notice must be provided to ASCND GROUP LTD in writing at hello@ascndgrp.com.
In accordance with fair contract principles and UK consumer protection legislation, our cancellation charges reflect only reasonable actual costs incurred by ASCND GROUP LTD up to the date of cancellation, plus any previously agreed lawful cancellation fees. Deposits are not automatically non-refundable; where our actual unrecoverable out-of-pocket expenses and committed costs are less than the deposit paid, the excess will be refunded to the Client.
If you are contracting as a consumer for off-premises or distance services, nothing in these terms restricts your statutory 14-day cancellation right under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, unless you have expressly requested that services commence during the cancellation period and services have been completed.
All audio-visual hardware, lighting fixtures, sound equipment, broadcast apparatus, cabling, and staging provided on hire remain the exclusive property of ASCND GROUP LTD or our specialist equipment suppliers.
ASCND GROUP LTD ensures that all equipment is supplied in safe working order, regularly inspected, and Portable Appliance Tested (PAT) in compliance with relevant UK electrical standards. Equipment must be operated solely by designated ASCND personnel or approved competent operators.
The Client is responsible for any damage, breakage, loss, or theft of hired equipment while located at the Client's designated venue or event site, where such damage or loss is caused by the acts, defaults, or negligence of the Client, their guests, attendees, or venue personnel, subject to applicable law.
Normal fair wear and tear resulting from reasonable and proper operational use is excluded. The Client must provide a secure, weather-protected, dry, and suitable environment for all equipment and technical apparatus.
ASCND GROUP LTD operates in strict accordance with the Health and Safety at Work etc. Act 1974. We can prepare Risk Assessments and Method Statements (RAMS) for event productions upon request.
The Client must guarantee safe, timely, and unimpeded access to the venue for rigging, installation, sound checks, rehearsals, and de-rigging. ASCND GROUP LTD reserves the right to suspend or cease operations immediately without liability if site conditions present an imminent risk of injury, electrical hazard, structural instability, or physical threat to our crew, attendees, or equipment.
To deliver comprehensive event productions, live broadcasts, and creative media, ASCND GROUP LTD may engage vetted freelance technicians, riggers, sound engineers, camera operators, and specialist crew.
ASCND GROUP LTD remains fully responsible for the standard of work delivered by our approved subcontractors and ensures all crew members comply with professional industry codes and on-site safety procedures.
For graphic design, branding, and website development services, deliverables, revision cycles, and technical milestones will be outlined in the agreed quotation. Minor revisions within the agreed scope are included; substantive changes outside the original brief constitute scope variations and will be quoted in advance.
Following deployment or delivery of digital and creative assets, the Client is provided a review period to verify functionality and design conformance.
Transfer of Ownership: Ownership of final, approved creative work (custom logos, visual brand assets, delivered graphic artwork, produced event videos, and custom website front-end code) transfers to the Client following full and final payment of all agreed fees.
Exclusions: This transfer excludes third-party licensed media (stock footage, typefaces, sound libraries, proprietary third-party software, or plugins) which remain subject to their respective licensing agreements, as well as ASCND GROUP LTD's pre-existing software tools, production templates, and technical frameworks.
Portfolio Usage: ASCND GROUP LTD may only feature client projects, photographs, videos, or design deliverables in its marketing materials, case studies, or social media with the prior permission of the Client.
While ASCND GROUP LTD employs high-grade broadcast hardware, redundant encoding systems, and professional cameras, live streaming is fundamentally reliant upon the venue's Internet connectivity. The Client is responsible for securing an adequate, dedicated, hard-wired Internet connection at the venue as specified in our technical rider.
ASCND GROUP LTD is not liable for stream degradation, lag, or outages caused by external Internet Service Provider (ISP) failures, platform throttling (e.g. YouTube, Vimeo, Zoom), or local network outages beyond our control. The Client warrants that all necessary public performance permissions, music licenses (PRS/PPL), and speaker consents have been obtained prior to broadcast.
Any additional services, overtime, altered run-times, or equipment additions requested by the Client outside the original agreed quotation must be agreed in advance with our production manager, including any associated fees.
Where delays occur on site due to factors outside our reasonable control (including venue access delays, schedule overruns by other contractors, or power delays), ASCND GROUP LTD will endeavor to minimize disruption but shall not be held liable for resulting production adjustments.
Both parties agree to handle all personal data in strict compliance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. For detailed information regarding how ASCND GROUP LTD collects, stores, and protects personal information, please consult our Privacy Policy.
Both parties agree to maintain the strict confidentiality of all proprietary business, pricing, technical, and commercial information shared during the engagement.
Nothing in these Terms & Conditions excludes or limits the liability of ASCND GROUP LTD for death or personal injury resulting from negligence, for fraud or fraudulent misrepresentation, or for any other liability which cannot be lawfully excluded or limited under English law.
Subject to the above, in commercial (B2B) contracts, our aggregate liability for direct loss or damage arising out of or in connection with the contract shall be limited to the total fee paid by the Client under the relevant agreement. Neither party shall be liable for indirect, incidental, or consequential losses, including loss of profit, loss of anticipated revenue, or loss of business opportunity.
If you are an individual contracting with ASCND GROUP LTD as a consumer (acting wholly or mainly outside your trade, business, craft, or profession), nothing in these Terms & Conditions affects, diminishes, or excludes your statutory legal rights under the Consumer Rights Act 2015 or other applicable UK consumer protection legislation.
Services will always be performed with reasonable care and skill, within a reasonable time, and in accordance with the agreed contractual description.
Neither party shall be in breach of these terms or liable for delay or failure in performing any contractual obligations (excluding payment obligations) if such delay or failure results from events beyond their reasonable control, including acts of God, severe weather, war, civil disturbance, national power grid failures, strikes, government mandates, pandemics, or epidemics.
In such circumstances, both parties will act in good faith to reschedule the event or agree an equitable adjustment of the services and commitments.
Either party may terminate the contract with immediate effect by written notice if the other party commits a material breach of the agreement and fails to remedy that breach within fourteen (14) days of receiving written notice, or becomes insolvent, enters administration, or enters liquidation.
Termination shall not prejudice any accrued rights, remedies, or liabilities existing at the time of termination, including payment for services properly rendered up to the termination date.
ASCND GROUP LTD is committed to client satisfaction and aims to resolve any operational or creative concerns promptly and amicably. In the event of a dispute, the Client should contact our management team in writing at hello@ascndgrp.com or telephone 0161 795 7555.
The parties agree to engage in constructive dialogue within fourteen (14) days of notice to seek an informal resolution prior to initiating formal legal proceedings.
If any court or competent regulatory authority determines that any provision of these Terms & Conditions is invalid, unlawful, or unenforceable, that provision shall be deemed severed, and the remaining provisions shall continue in full force and effect.
These terms, together with our written quotation and project brief, constitute the entire agreement between the parties regarding the subject matter and supersede any prior representations or agreements.
These Terms & Conditions and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim, provided that consumer clients resident in Scotland or Northern Ireland retain the right to bring proceedings in their local domestic courts.
